Terms of Service

1. Agreement

These Terms are a contract between you and NemKad Solutions (Malaysia) ("NemKad", "we", "us"), which operates nemkad.com and the NemKad service (the "Service"). By claiming a card, creating an account, requesting a connection or joining a waitlist, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

You must be at least 18 years old and able to enter a binding contract.

2. The Service

NemKad lets you create a digital name card at nemkad.com/your-username, share it by link or QR code, and let visitors save your details or request them. We may add, change or remove features at any time. Features described as "coming soon" or "Premium" are not available until we say so and are not part of any promise to you.

3. Your account

  • You are responsible for everything done through your account and for keeping access to your email and Google account secure. Sign-in links are personal; do not forward them.
  • One person, one account, unless we allow otherwise. You must give us accurate information and keep it current.
  • Tell us at helpline@nemkad.com if you think your account has been accessed without permission.

4. Usernames

  • Usernames are allocated first come, first served, subject to these Terms. Claiming a username gives you a licence to use that address while your account is in good standing, not ownership of it.
  • We may refuse, reclaim or change a username that is reserved for the Service, infringes someone else's trademark or name, impersonates a person or organisation, is offensive, or is registered to squat or resell.
  • Usernames cannot be transferred or sold. Contact us if you need to change yours; we cannot guarantee the new one will be available.

5. Your content

  • You keep ownership of everything you put on your card. You grant us a worldwide, royalty-free licence to host, store, display, reproduce and distribute it as needed to run the Service (for example, to show your card to visitors, generate a vCard or QR code, and create a preview image when your link is shared). This licence ends when you delete the content or your account, except for copies in backups for a limited time and content others have already saved.
  • You are responsible for your content. Only publish information you have the right to publish and that is accurate. Remember that a card is public: see section 5 of the Privacy Policy.
  • You confirm that any photo, logo or link you add does not infringe anyone's rights.

6. Connections and messages

  • Card owners decide whether each contact channel is public, for connections only, or private, and may accept, decline or remove any connection without giving a reason. A card owner's email address is never shown to visitors.
  • Details you see through a connection are for your personal contact with that person only — not for unsolicited marketing, harassment, resale or building lists. Either person may remove the connection at any time.
  • Messages may only be sent to your connections. You must not send spam, threats, harassment, unlawful content or content you have no right to share. Either participant may report a conversation; we may review reported conversations, and may restrict or suspend accounts that abuse messaging.
  • Anyone may send a card owner a message through the Contact me form on their card, with or without an account. The form is for genuine enquiries only: no spam, no advertising the owner did not ask for, no threats, harassment or unlawful content, and no sending on behalf of someone else without their permission. We limit how many messages can be sent and may block senders who abuse the form. Owners decide whether to reply.
  • We do not verify that a phone number or email on a card is correct or belongs to the owner, or that the name and email address given in a Contact me form are genuine.

7. Acceptable use

You must not use the Service to:

  • impersonate anyone or misrepresent your affiliation with a person or organisation;
  • publish unlawful, defamatory, obscene, hateful or infringing content, or content that promotes scams, illegal gambling, or unlicensed financial or medical services;
  • collect data from other users' cards by automated means (scraping) or in bulk;
  • send spam, including through a card's Contact me form, or use connections, messages or enquiries to build lists;
  • interfere with the Service, probe its security, or bypass rate limits, privacy settings or plan restrictions;
  • resell or offer the Service to others as your own.

We may remove content and suspend or terminate accounts that breach these Terms, at our discretion and, where practical, with notice.

8. Plans and payment

The Free plan is free for as long as we offer it. Paid plans (Premium), when launched, will have their own prices, billing terms and refund policy published on the site at that time, and those terms will apply in addition to these Terms. Until then, nothing on the site is an offer to sell a paid plan. Waitlist offers (for example a founding-member discount) apply to the first billing period of the plan named, for accounts that joined the waitlist before that plan launched; they have no cash value and cannot be transferred.

9. Availability and changes

We aim to keep the Service available but do not guarantee uninterrupted or error-free operation. We may suspend the Service for maintenance or for reasons outside our control. We may change or discontinue the Service; if we discontinue it entirely we will give at least 30 days' notice by email and let you export your card data.

10. Termination

You can delete your account at any time from the dashboard; your card goes offline immediately and data is deleted per the Privacy Policy. We may suspend or terminate your account if you breach these Terms or if required by law. Sections 5 (licence for existing copies), 11, 12 and 13 survive termination.

11. Disclaimer

The Service is provided "as is" and "as available". To the fullest extent permitted by law we exclude all warranties, express or implied, including fitness for a particular purpose and non-infringement. We do not warrant that cards, QR codes or links will remain accessible, that contact details on cards are accurate, or that third-party services (Google, WhatsApp, email providers) will work with the Service.

12. Limitation of liability

To the fullest extent permitted by law, we are not liable for indirect, incidental, special or consequential loss, loss of business, revenue, data or goodwill arising from your use of or inability to use the Service, or from content published by other users. Our total liability to you for any claim in connection with the Service is limited to the amount you paid us in the 12 months before the claim, or RM100 if you paid nothing. Nothing in these Terms excludes liability that cannot be excluded under Malaysian law, including under the Consumer Protection Act 1999 where it applies.

13. Governing law and disputes

These Terms are governed by the laws of Malaysia. Any dispute will be subject to the exclusive jurisdiction of the courts of Malaysia. Please contact us first at helpline@nemkad.com; most issues can be sorted out quickly.

14. General

If any part of these Terms is unenforceable, the rest still applies. Our failure to enforce a right is not a waiver. You may not assign these Terms; we may assign them to a successor of the Service. These Terms, the Privacy Policy and any plan-specific terms are the entire agreement between us regarding the Service.

15. Changes to these Terms

We may update these Terms. We will post the new version here with a new date and, for material changes, email account holders at least 14 days before they take effect. Continued use after that date means you accept the new Terms.
